The US Department of Transportation (USDOT) published final amendments on September 25th to the regulations governing the DBE (Disadvantaged Business Enterprise) and ACDBE (Airport Concession Disadvantaged Business Enterprise) programs. The rule took effect the same day and retains the changes introduced on October 3rd, 2025.

Here are some of the important changes that small businesses can expect:

  • Many states have delayed the recertification program, and many have not yet accepted reevaluation materials. The Final Rule sets the deadline of December 24th for Unified Certified Programs (UCPs) to complete their reevaluation.
  • The USDOT can grant a one-time three-month extension under special circumstances, but certifying agencies must request it in advance.
  • During the earlier recertification process, many DBEs were denied permission to reference race- or sex-based discrimination in their personal narratives. The Final Rule states that individuals may refer to discrimination they faced at the individual level.
  • Wording has been modified in the Final Rule to establish economic disadvantage after pushback. “Similarly situated” was replaced by “non-disadvantaged individual with comparable qualifications”. DOT has clarified that comparisons will be based on professional credentials and work history.
  • “Economic disadvantage in fact” provides a basis for determining whether an owner with a Personal Net Worth (PNW) below the current standard isn’t actually economically disadvantaged.
  • Businesses owned by Alaska Native Corporations (ANCs), Indian Tribes, and Native Hawaiian Organizations (NHOs) are exempt from the personal narrative requirement but must meet other requirements.
  • The Final Rule addresses privacy concerns about personal narrative information. The USDOT reaffirmed that certifiers need to exercise due diligence to protect an applicant's personal and financial information, including personal narrative.
  • DOT also set the final written notice of nonresponse for DBEs and ACDBEs that fail to submit the required documentation by March 24th, 2027, with a 90-day grace period.
  • The Final Rule also provided clarification on Interstate Certifications. The USDOT has clarified that if a business receives certification in its home state, other states should automatically accept that decision.
  • Firms failing to meet the new standards of personal disadvantage will be disqualified and not decertified. UCPs are also required to provide reasoning for disqualification with verbatim appeal instructions. This is a major change from the Interim Final Rule.
  • The rule also requires UCPs to accept new applications, which most certifiers had been refusing.
